1. Account Registration and Access

When you create an account with Happyfox Supply Co, you agree to:

2. Course Access and Purchases

2.1 One-Time Purchase Courses

Courses purchased with a one-time payment provide lifetime access to the course materials, including any updates we make to that course.

2.2 Membership

Our membership program offers access to exclusive content and courses on a subscription basis. Membership options include:

  • Monthly subscription
  • Semi-annual subscription
  • Annual subscription
  • 7-day paid trial (where applicable)

Membership billing renews automatically at the end of each billing period unless cancelled. You may cancel your membership at any time through your account settings or by contacting us. Upon cancellation, you will retain access until the end of your current billing period.

2.3 Digital Downloads

Digital downloads purchased through our platform are available for immediate download upon purchase and can be re-downloaded through your account.

3. Payment Terms

3.1 Pricing

All prices are listed in USD and are subject to change. Price changes will not affect purchases already made.

3.2 Payment Processing

Payments are processed securely through our payment processors. By providing payment information, you represent that you are authorized to use the payment method provided.

3.3 Failed Payments

For subscription memberships, if a payment fails, we may attempt to process the payment again. If payment continues to fail, your access may be suspended or terminated.

4. Refund Policy

ALL SALES ARE FINAL. We do not offer refunds for any purchases, including but not limited to:

  • One-time course purchases
  • Membership subscriptions (including trial periods)
  • Digital downloads

5. Intellectual Property and Usage Rights

5.1 Our Rights

All course content, including but not limited to videos, text, graphics, logos, images, audio clips, digital downloads, and software, is the exclusive property of Happyfox Supply Co and is protected by copyright, trademark, and other intellectual property laws.

5.2 Your License

Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the course materials for personal, non-commercial use only.

5.3 Commercial Use of Your Work

While course materials themselves may not be shared or used commercially, you retain full commercial rights to any artwork, products, or creations you make using the skills and techniques taught in our courses. You may sell, license, or otherwise commercially exploit your own original work created using our instruction.

5.4 Prohibited Uses

You may NOT:

  • Share, distribute, or resell course content
  • Upload course content to file-sharing sites or public platforms
  • Record, screenshot, or reproduce course materials for distribution
  • Share your login credentials with others
  • Use course content to create competing educational products
  • Remove or alter any copyright notices or watermarks

Violation of these terms may result in immediate termination of access without refund and potential legal action.

6. User Conduct

You agree to use our Services in compliance with all applicable laws and regulations. You agree NOT to:

  • Harass, abuse, or harm other users
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of the Services

Our Services are hosted on Kajabi and may integrate with other third-party services. Your use of these platforms is also subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that:

  • The Services will be uninterrupted or error-free
  • Defects will be corrected
  • The Services are free of viruses or harmful components
  • The results or information obtained will meet your requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPYFOX SUPPLY CO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Services
  • Any unauthorized access to or use of our servers
  • Any bugs, viruses, or malware transmitted through the Services
  • Any errors or omissions in content
  • Any conduct of third parties

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Happyfox Supply Co, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your violation of any third-party rights, including intellectual property rights

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to:

  • Fraudulent or illegal activity
  • Requests by law enforcement or government agencies

Upon termination, your right to access the Services will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Nevada. You agree to waive any right to a jury trial or to participate in a class action.

14. International Users

Our Services are operated from the United States. If you access the Services from outside the United States, you are responsible for compliance with local laws and regulations. By using our Services, you consent to the transfer of your information to the United States.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Happyfox Supply Co regarding the Services and supersede any prior agreements.
